Afraka Designing Emergence, LLC and/or its subsidiaries (collectively, “adé PROJECT “) provide web services + products to you when you visit or shop at theadeproject.org or use other adé PROJECT products, services, websites or mobile applications and social media platforms (collectively, “theadeproject.org”) – all of which are subject to these Conditions of Use. We reserve the right to modify these Conditions of Use at any time and without notice to you. By visiting theadeproject.org or using other adé PROJECT services, you agree to these Conditions of Use. Please read them carefully.

We may offer a wide range of adé PROJECT Services, and sometimes additional terms may apply. When you use an adé PROJECT Service (for example, adé PROJECT oracle & coaching sessions) you also will be subject to the guidelines, terms and agreements applicable to that particular adé PROJECT Service (“Service Terms”). If any Service Terms are inconsistent with these Conditions of Use, the Service Terms will control.​​

CONDITIONS OF USE

LICENSE AND ACCESS

Subject to your full compliance with these Conditions of Use and any applicable Service Terms, and your payment of any applicable fees, adé PROJECT grants you a limited, non-exclusive, non-transferable, non-sublicensable and fully revocable license to access and make personal, non-commercial use of the adé PROJECT Services. For theadeproject.org specifically, the license to access theadeproject.org is solely for the purpose of shopping for items for personal use sold on theadeproject.org and not for any commercial use or use on behalf of any third party, except as explicitly permitted by us in advance and in our sole discretion. The license granted herein does not include: any resale or commercial use of any adé PROJECT Service, or its contents; any collection or use of any product listings, descriptions, images, or prices; any derivative use of any adé PROJECT Service or its contents; any downloading, copying, or other use of account information for the benefit of any third party; or any use of data mining, robots (bots), or similar data gathering and extraction tools.

All rights not expressly granted to you in these Conditions of Use or any Service Terms are reserved and retained by adé PROJECT or its licensors, suppliers, publishers, rightsholders, or other content providers. No adé PROJECT Service, nor any part of any adé PROJECT Service, may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of adé PROJECT. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of adé PROJECT without express written consent. You may not use any meta tags or any other “hidden text” utilizing the adé PROJECT name, brand or trademarks without the express written consent of adé PROJECT. adé PROJECT reserves the right to refuse service, terminate accounts, and/or cancel orders in our sole discretion, including, without limitation, if we believe that customer conduct violates these Conditions of Use, applicable law, or is harmful to our interests. In other words, you may not misuse adé PROJECT Services.

INTERNATIONAL ACCESS, SANCTIONS + EXPORT POLICY

adé PROJECT Services may be accessible from countries other than the United States and its territories and may contain products or references to products or services that are not available outside of the United States or its territories. Any such access or reference does not imply that such products or services will be made available outside the United States or its territories. If you access and use adé PROJECT Services outside the United States or its territories, you are responsible for complying with all applicable laws and regulations.

You may not use any adé PROJECT Services if you are the subject of U.S. sanctions or of sanctions consistent with U.S. law imposed by the governments of the country where you are using adé PROJECT Services. You must comply with all U.S. or other export and re-export restrictions that may apply to goods, software (including adé PROJECT software), technology, and services.

REVIEWS + COMMENTS

If allowed by adé PROJECT, you may, as applicable, post reviews, comments, photos, videos, and other content; and submit suggestions, ideas, comments, questions, or other material or information (collectively, “Content”), so long as the Content complies with our Community Guidelines and is not otherwise illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable.

If you do post or submit Content, and unless we indicate otherwise, you grant adé PROJECT a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such Content throughout the world in any media. You also grant adé PROJECT and sublicensees the right to use the name that you submit in connection with such Content, if they choose. You represent and warrant that you own or otherwise control all of the rights to the Content that you submit; that the Content is accurate and will not cause injury to any person or entity; and that you will indemnify adé PROJECT for all claims resulting from Content you supply. adé PROJECT has the right but not the obligation to monitor, edit or remove any activity or Content. adé PROJECT takes no responsibility and assumes no liability for any Content posted by you or any third party and may not review posted Content.

MEMBERSHIP + YOUR ACCOUNT

You may need your own adé PROJECT account and/or membership subscription to use certain adé PROJECT Services, and you may be required to be logged in to the account. You are solely responsible for maintaining the confidentiality of your account and password and for restricting access to your account, and you agree to accept responsibility for all activities that occur under your account or password. You shall immediately notify us of any actual or suspected unauthorized use of your password or adé PROJECT account. We have no obligation to investigate the authorization or source of any such access or use of adé PROJECT Services. adé PROJECT does not sell products or services to children, but we do sell them to adults, who can purchase with a credit card or other permitted payment method. If you are under 18, you may use the adé PROJECT Services only with involvement and permission of a parent or guardian. adé PROJECT reserves the right to refuse service, terminate accounts, terminate your rights to use adé PROJECT Services, remove or edit content, or cancel orders in its sole discretion.

ELECTRONIC COMMUNICATIONS

When you use adé PROJECT Services, or send e-mails, text messages, and other communications from your desktop or mobile device to us, you may be communicating with us electronically. You consent to receive communications (including marketing communications, unless you have opted-out where applicable) from us electronically, such as e-mails, texts, mobile push notices, or notices and messages on this site or through the other adé PROJECT Services. You agree that all notices, disclosures, agreements, and other communications that we provide to you electronically satisfy any legal requirement that such communication be in writing.

COPYRIGHT & TRADEMARKS

This is my business…Afraka Designing Emergence, LLC (dba adé PROJECT), is a single-member LLC and formed legally as a business from the intellectual property of Cortina Jenelle Caldwell upon original filing under EIN #83-2013486 on August 25, 2018 as Artists Designing Evolution, LLC, and is inclusive of the amended filing as of August 24, 2021 in the form of Afraka Designing Emergence, LLC.

The business is my business summary…Afraka Designing Emergence (adé PROJECT) is on a mission to actualize equity, spark creative inquiry + reclaim the narrative. Afraka Designing Emergence (adé PROJECT) is home for cultural reparation, liberation and celebration in order to create spaces of belonging for displaced members of the Afraka Diaspora who have been wandering + wondering…looking for a way home since the disruption of colonization. We seek to be that homecoming.

This is what my business plans on doing…Afraka Designing Emergence (adé PROJECT) works with organizers, leaders, educators, historians, creatives, facilitators and entrepreneneurs around the Afraka Diaspora to restore our people to their traditional greatness through the liberation of our mind, body and spirit, crowning Afraka once again. It is our mission to create a world where it is our shared practice to take accountability for knowing our history, to encourage intellectual rigor and creative imagination in our youth, to tune into ancient wisdom to conquer the hardships and challenges of today and to live a life of truth, balance, order, harmony, righteousness, morality and justice. Our work will be fully realized when the Motherland and the divine feminine takes her rightful place in history, therefore anchoring our future.  adé PROJECT was founded in Southern Appalachia, where many of our enslaved ancestors brought to the Americas against their will gained freedom, sowed roots and built culture. We do this work in their honor. We create the liberation we wish to see – one project at a time.

This business is copywritten and trademarked as of August 25, 2018. This is a legal and binding agreement enforceable in any court of law.

All content included in or made available through any adé PROJECT Service, such as text, graphics, logos, button icons, images, audio, video, and software is the property of adé PROJECT or its content suppliers; and the compilation of all content included in or made available through any adé PROJECT Service is the exclusive property of adé PROJECT and is protected by United States and international copyright laws, as applicable. In addition, graphics, logos, page headers, button icons, scripts, and service names included in or made available through any adé PROJECT Service are trademarks or trade dress of adé PROJECT in the U.S. and other countries. The use of any of our intellectual property without our express written consent is strictly prohibited. adé PROJECT trademarks, trade dress and other intellectual property may not be used in connection with any product or service that is not adé PROJECT, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits adé PROJECT. All other trademarks not owned by adé PROJECT that appear in any adé PROJECT Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by adé PROJECT. We respect the intellectual property of others. If you believe that your intellectual property rights are being infringed, please follow our Notice and Procedure for Making Claims of Copyright Infringement. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our copyright agent the written information specified below. Please note that this procedure is exclusively for notifying us and our affiliates and its affiliates that your copyrighted material has been infringed.

Guidelines for adé PROJECT Member Participation

As a member invested in bringing and growing the light to the world, we want to know what you think! As a adé PROJECT member, we will invite you to participate in the adé PROJECT Community by sharing authentic feedback about our products and services, where applicable. These Community Guidelines will help you use Community features such as Customer Reviews and Q&A. Your participation in the adé PROJECT Community will help future customers and clients make more informed buying decisions. So tell us – what did you like or not like about a specific product or service? Please be honest with your feedback!

We take the integrity of our adé PROJECT Community very seriously. Any attempt to manipulate Community content or contribute false, misleading, or inauthentic content, is strictly prohibited. If you violate our Guidelines or we determine in our sole discretion that your participation is abusive, deceptive, fraudulent or otherwise unlawful, we may restrict your ability to use Community features, remove your content, or suspend or terminate your membership account. Misconduct may also violate state and federal laws, including the Federal Trade Commission Act, and can lead to legal action and civil and criminal penalties.We encourage anyone who suspects that content manipulation is taking place or that our Guidelines are being violated in any way to notify us at connect@theadeproject.org. We will investigate the concern thoroughly and take any appropriate actions.

By accessing or using our Community features, you agree to our Terms of Use and to abide by these Guidelines as modified from time to time. These Guidelines apply to any content (including text, images, video, and links) you submit to adé PROJECT and actions you take (such as voting on helpfulness) when using our features. adé PROJECT may but shall not be obligated to post your submission.

ELIGIBILITY

To submit content using our Community features such as Customer Reviews and Q&A, you must be at least 18 years old.

RESPECT OTHERS

adé PROJECT values diverse opinions, so you may disagree with some content that you come across. Please keep in mind that something that may be disagreeable to you may not violate our Guidelines. In order to maintain a welcoming environment for all users, your participation in the Community must always be respectful of others.

COMMUNITY CONTENT RESTRICTIONS

If the content you submit does not comply with these Guidelines, it will be rejected or removed. We are unable to accept the following content:

Inappropriate, Offensive or Illegal Content

  • Do not submit content that is libelous, defamatory, harassing, threatening or inflammatory. For example, do not use obscenities, express hatred or intolerance for people on the basis of race, ethnicity, nationality, gender or gender identity, religion, sexual orientation, age, bi-partisan political affiliation, geography, class/income, or disability, or promote organizations with such views.
  • Do not submit private information such as phone numbers, mailing addresses or other personal information where publicly viewable.
  • Do not engage in name-calling, cyber bullying, cyber stalking or attack people.
  • Do not submit content that encourages or supports behavior that is fraudulent, abusive, illegal or violent.
  • Do not impersonate other people or organizations.

Infringing Content

Do not submit content that infringes the intellectual property or other proprietary rights of others. Only submit your own content or content that you have permission to use.

Sexual Content

Do not submit sexual content. We reserve the right to restrict sexual content on our site as some of our customers may be sensitive to such content.

Promotional Content and Commercial Solicitations

In order to preserve the integrity of our Community content, content and activities consisting of advertising, promotion, or solicitation (whether direct or indirect) is not allowed, including:

  • Creating, modifying, or submitting content regarding your (or your relative’s, close friend’s, business associate’s, or employer’s) products or services.
  • Creating, modifying, or submitting content regarding your competitors’ products or services.
  • Creating, modifying, or submitting content in exchange for compensation of any kind (including free or discounted products) or on behalf of anyone else.
  • Offering compensation or requesting compensation (including free or discounted products) in exchange for creating, modifying, or submitting content.
  • Submitting advertisements or solicitations, including URLs with referrer tags or affiliate codes.

The only exceptions are:

You may submit content requested by adé PROJECT such as Customer Reviews of services, or products you purchased with adé PROJECT or received through affiliation program; and/or submit content for advance release of services, products, and features within the adé PROJECT collection. In those cases, your content must comply with any additional guidelines specified by adé PROJECT and such reviews will be noted as having been reviewed by a adé PROJECT moderator.

Additional Non-compliant Content

  • Content that is not relevant to the product.
  • Content that includes non-adé RPOJECT URL’s or links, or links to phishing or other malware sites.
  • Content that is written in a language other than English if and only if there is intent to submit content in violation with the above outlined guidelines in the other language, otherwise content can be submitted in any language that adé RPOJECT services and products are available.

HOW TO WRITE A GREAT REVIEW

  • Include the “why”: The best reviews include not only whether you liked or disliked a product, but also why.
  • Be specific: Your review should be relevant to the product you’re reviewing and focus on specific features and/or your experience with the product. Comments about pricing or product availability are not about the product and should not be included in your review.
  • Not too short, not too long: Written reviews must be at least 1 sentence and are limited to 10,000 characters and 4 images per review. Reviews that include a video are limited to 1 minute in duration and 1 video per review.
  • Be sincere: We welcome your honest opinion about the product. We do not remove reviews because they are critical of a product as long as the reviews comply with these Guidelines.

HOW TO REQUEST REMOVAL OF A CUSTOMER REVIEW

After a review is submitted you cannot delete the review. You may request removal of the review by contacting us at connect@theadeproject.org. We may but shall not be obligated to remove your review except as required by law. Removal does not ensure the review will be completely or comprehensively deleted.

REPORTING VIOLATIONS AND PRODUCT DESCRIPTION ERRORS

If you believe Community content in the Q&A feature violates our Guidelines, you can report the possible violation by clicking the Report link near the content. If you believe one of our product descriptions contains an error, please use the Report An Error link on the contact page. You can submit your feedback by selecting “Reviews” and describing the error.

adé PROJECT knows that you care how information about you is used and shared, and we appreciate your trust that we will do so carefully and sensibly. This notice describes our privacy policy. By visiting adé PROJECT, you are accepting the practices described in this Privacy Notice.

The information we collect and learn from community helps us personalize and continually improve your adé PROJECT experience. One of our goals in collecting personal information from you is to provide an efficient, meaningful, and customized experience. Here are the general categories of information we gather:

Information You Give Us: We receive and store information you enter on our website, or give us in any other way. Examples include, but are not limited to, information when you search, browse, buy, post reviews, participate in a sweepstakes or questionnaire, or communicate with customer service. Mobile: When you download or use apps created by adé PROJECT, we may receive information about your location and your mobile device, including a unique identifier for your device. E-mail Communications: To help us make emails more useful and interesting, we often receive a confirmation when you open email from adé PROJECT, if your computer supports such capabilities. If you do not want to receive email from us (unrelated to transactions and/or your account), please adjust your email subscription settings in your adé PROJECT account or contact our response team.

Information from Other Sources: We might receive information about you from other sources and add it to our account information. Examples include, but are not limited to, updated delivery and address information from our carriers and information from credit bureaus, which we use to help prevent and detect fraud.

• Most internet browsers are initially set to accept cookies. Because cookies allow you to take advantage of some of adé PROJECT’s essential features, we recommend that you leave them turned on. Information about our customers and clients is an important part of our business, and we are not in the business of selling, renting or trading it to others. We share customer information only as described in this Privacy Notice and with entities within our family of companies. The “adé PROJECT” means Afraka Designing Emergence, LLC and its subsidiaries.

Third-Party Service Providers: We may employ other companies and individuals to perform functions on our behalf. Examples include, but are not limited to, fulfilling orders, delivering packages, sending postal mail and email, removing repetitive information from customer lists, analyzing data, providing marketing assistance, providing search results and links (including paid listings and links), processing credit card payments, providing customer service, storing data, and serving ads on our behalf. They have access to personal information needed to perform their functions, but may not use it for other purposes.

Promotional Offers: Sometimes we send offers to selected groups of adé PROJECT customers and clients in collaboration with other businesses. When we do this, we do not allow that business to access your information. You may have the opportunity to separately share information with those other businesses, and if you do, that information would be governed by such company’s privacy policy. You may adjust your email subscription settings in your adé PROJECT account or by contacting our response team.

Business Transfers: As we continue to develop our business, we might sell or buy stores, companies, or business units. In such transactions, customer and client information generally is one of the transferred business assets but remains subject to the promises made in any pre-existing privacy notice (unless, of course, the customer or client consents otherwise). Also, in the unlikely event that adé PROJECT, or substantially all of its assets are acquired, customer information will of course be one of the transferred assets. We would make an announcement to our Community in the event of such business transfers if members opt in to that notification on the member registration form.

Protection of adé PROJECT and Others: We release account and other personal information when we believe release is appropriate to comply with the law; enforce or apply our Conditions of Use and other agreements; or protect the rights, property, or safety of adé PROJECT, our customers, our clients or others. This includes exchanging information with other companies and organizations for fraud protection and credit risk reduction. Obviously, however, this does not include selling, renting, sharing, or otherwise disclosing personally identifiable information from customers for commercial purposes in violation of the commitments set forth in this Privacy Notice.

With Your Consent: Other than as set out above, we may seek your consent for us to share your information with additional third parties, and you will have the opportunity in your discretion to choose not to share your information.

• We work to protect the security of your information by utilizing encryption methods during the transmission or storage of information you input through our websites and mobile applications. One hundred percent complete security does not presently exist anywhere online or offline, and we are unable to provide specific guarantees regarding complete security of your personal information; however, we have a team of security professionals that work to safeguard your information.

• It is important for you to protect against unauthorized access to your password and to your computer. Be sure to sign off and close your browser when finished using a shared computer. Only use trusted internet networks, including Wi-Fi, and do not share your login credentials with unauthorized parties.

adé PROJECT may utilize interested-based advertising (also known as personalized ads or targeted ads) on both adé PROJECT-owned and operated websites and unaffiliated sites, in the future however, this is not something that is a part of the online experience with adé PROJECT.

​Which Information Can I Access?

adé PROJECT gives you access to information about your account and your interactions with adé PROJECT for the limited purpose of viewing and, in certain cases, updating that information. Examples include account order history shipping address(es), favorites, contact information, etc. This information may change as our website evolves.

• You can always choose not to provide certain information; however, it might be needed to take advantage of certain adé PROJECT features such as your account profile, favorites and customer reviews. Before ordering products from theadeproject.org, you must create a valid account.

• If you do not want to receive marketing emails from us, please adjust your email subscription preferences in your account or click the “unsubscribe” link in the email. If you do not want to receive physical marketing mail from us, please reach out to our customer service team. (Regardless if you receive our Conditions of Use and other legal notices from us, such as this Privacy Notice, those notices will still govern your use of adé PROJECT, and it is your responsibility to review them for changes.)

• Upon your request, we will (a) correct or update your personal information; (b) stop sending non-transactional emails to your email address and/or physical mail to your address; and/or (c) disable your account to prevent any future purchases through that account. You can make these requests by contacting our response team.

​​Are Children Allowed to Use adé PROJECT?

adé PROJECT does not sell products for purchase by children. We sell inclusive, children-welcoming products for purchase by adults. If you are under 18, you may use adé PROJECT only with the involvement and permission of a parent, guardian. We do not knowingly collect personal information from children under the age of 13 without the consent of the child’s parent or guardian. We do not knowingly agree to transactions without the presence of the consenting adult should the payment information not be in the name of the youth shopping with us. Additionally in these cases, while unfortunate, these instances are not eligible for refund.

If you choose to visit adé PROJECT, your visit and any dispute over privacy is subject to this Notice and our Conditions of Use, including limitations on damages, resolution of disputes, and application of the law of the State of North Carolina. Our business changes constantly, and our Privacy Notice and Conditions of Use may also change. You should check our website frequently to see recent changes. ​​SHIPPING + RETURN POLICY

RISK OF LOSS, RETURNS/REFUNDS + TITLE

The risk of loss and title for items purchased by you from adé PROJECT pass to you upon our delivery of the items to the carrier. Conversely, we do not take returned products, physical items that have been used, opened or tampered with in any way. Product refund eligibility is limited to a request prior to the order being shipped, and after the order has been shipped with a valid reason for the refund request. We reserve the right to decline any refund request at any time for products. If approved, only after the item has been returned will it be reviewed for refund eligibility. You are responsible for reviewing the contents of your returns prior to shipment back to us. We are not responsible for any additional items that might accompany your returned items. Any such items are subject to destruction, and we have no obligation to return them to you. At our discretion, a refund may be issued without requiring a return, in cases of delays in shipping or natural disasters disrupting distribution or shipping out of our control. For services purchased, refunds are not eligible after services have been rendered, and any refunds are subject to the refund and cancellation policy of the provider. EXCHANGES

Once you make a purchase selection with adé PROJECT, you always have the option to request an exchange for an eligible item instead of requesting a refund. You may be able to process an exchange yourself for certain eligible items in your adé PROJECT account. If an item is eligible, you will see an option in your order under your adé PROJECT account to select an item to exchange, and to flag the item for exchange request. If an exchange option is not available in your adé PROJECT account, you can contact us to initiate your exchange. Please note that if you process an exchange yourself, as noted below, there may be up to a 1 hour waiting period before you can request to exchange another item from an order and our Customer Loyalty Team will be subject to the same waiting period.

Once you initiate an exchange, the funds from the item being returned will be transferred to an e-Gift Card when the exchange is initiated. adé PROJECT will then apply the e-Gift Card to your replacement item. We just require the original item be returned in its original condition and packaging within 14 days of the date of your exchange (adé PROJECT will provide a free return label). If we do not receive the original item back within 14 days, adé PROJECT will charge your original payment method or default payment method (if original method is unavailable) for the cost of the item. However, if the replacement item is subsequently returned, adé PROJECT will issue the refund for the full amount (minus any shipping charges from the original order) back to either: (a) an e-Gift Card if an e-Gift Card was applied to the exchange transaction, or (b) the original payment method. The method of exchange by e-Gift Card is determined by the adé PROJECT system and will be disclosed to you at the time that you request the exchange. Please also note that in some cases you may only exchange one item at a time from an order and there may be up to a 1 day waiting period before you can request to exchange another item from an order.

SHIPPING DESTINATIONS + SPEEDS

adé PROJECT ships anywhere in the United States, to all US territories and military APO/FPO addresses, and select international countries (those that can be most easily serviced by our shipping partners and distributors). If you attempt to order something with us and do not see your country listed in the shipping options, please contact us directly to service you.

Due to the handcrafted, homegrown nature of our products and services, shipping on products will take some time. At check out, you will typically see 3 shipping options with estimated delivery dates so you can pick the option that works best for you. Please note some items are ineligible for expedited shipping options and these items will be marked as such in the product description. Expedited shipping options also are not available for shipments outside the continental United States; please allow additional time for your order to arrive to these locations. Orders to P.O. boxes, US territories or military APO/FPO addresses will ship via United States Postal Service (USPS). Delivery dates are subject to order cut-off times or carrier delays.

PRODUCT DESCRIPTIONS; TYPOGRAPHICAL ERRORS; SITE CONTENT

adé PROJECT attempts to be as accurate as possible. However, adé PROJECT does not warrant that product descriptions or other content of any adé PROJECT product or service is 100% accurate, complete, reliable, current, or error-free. If a product offered by adé PROJECT is not as described, your sole remedy against us is to return it in unused condition and request a refund for such item. If any other adé PROJECT Service is not as described, your sole remedy against us is to request a refund for such adé PROJECT product or service.

In the event a product or service is listed at an incorrect price or with incorrect information (due to typographical error or error in pricing or product information received from our suppliers), we shall have the right to refuse or cancel any orders placed for such product or service. We shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, we will issue a credit to your credit card account in the amount of the charge.

TERMINATION AND EFFECT OF TERMINATION

In addition to any other legal or equitable remedies, we may, without prior notice to you, immediately terminate or revoke any or all of your permissions granted under these Conditions of Use. Upon such termination or revocation, you shall immediately cease all access to and use of all adé PROJECT Services, and we shall, in addition to any other legal or equitable remedies, immediately revoke all password(s) and account identification issued to you and deny your access to and use of theadeproject.org or any other adé PROJECT website in whole or in part. Any termination of these Conditions of Use shall not affect the respective rights and obligations (including without limitation, payment obligations) of the parties arising before the date of termination.

​​DISPUTES, REMEDIES + APPLICABLE LAW

Any dispute or claim relating in any way to your use of any adé PROJECT Service, or to any products or services sold or distributed by adé PROJECT or through theadeproject.org or any other adé PROJECT website will be resolved by binding arbitration, rather than in court. You agree that the Federal Arbitration Act, applicable federal law, and the laws of the state of North Carolina (without regard to principles of conflict of laws), will govern these Conditions of Use and any dispute of any sort that might arise between you and adé PROJECT.

There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Conditions of Use as a court would.

To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your claim to our registered agent. The arbitration will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA’s Supplementary Procedures for Consumer-Related Disputes. The AAA’s rules are available at www.adr.org or by calling 1-800-778-7879. The AAA’s rules will govern payment of all filing, administration and arbitrator fees. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in Buncombe County, North Carolina or at another mutually agreed location.

You and adé PROJECT both agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration you and adé PROJECT each respectively waive any right to a jury trial. You and adé PROJECT also both agree that either of us may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

MODIFICATION + SEVERABILITY

We reserve the right to make changes to our websites, policies, Service Terms, and these Conditions of Use at any time and without notice to you. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.
